1. Introduction

Welcome to the Affiliate Program (“Program”) offered by iClickDeal (“we”, “us”, or “our”). By applying to or participating in this Program, you (“Affiliate”) agree to be bound by these Terms & Conditions (“Agreement”). If you do not agree with any part of this Agreement, you must not participate in the Program.

2. Definitions

  • “Affiliate” means an individual or entity approved by us to promote iClickDeal via tracked links, content or other approved channels.
  • “Referral Link” means the unique tracking link provided to the Affiliate, which directs traffic to iClickDeal and allows tracking of resulting sales or actions.
  • “Customer” means an end-user who visits iClickDeal via an Affiliate’s Referral Link and completes a purchase or other specified action for which commission is payable.
  • “Commission” means the payment payable to the Affiliate for each eligible Customer transaction, as described in section 5.
  • “Qualified Transaction” means a sale, subscription or other action by a Customer via an Affiliate’s Referral Link that meets all eligibility criteria in this Agreement.

3. Affiliate Acceptance & Eligibility

  • Affiliates must apply and be accepted by iClickDeal before earning Commissions.
  • We reserve the right to reject any application, or disable an Affiliate’s participation at our sole discretion.
  • Affiliates must be at least 18 years old and must provide accurate registration and payment information.
  • Only one Affiliate account per person or entity is permitted, unless otherwise approved in writing.

4. Promotion & Acceptable Conduct

  • Affiliates may promote iClickDeal using the approved Referral Link and may embed it within content on websites, blogs, social media, email campaigns and other channels only if these comply with all applicable laws and our brand and marketing guidelines.
  • Affiliates must not engage in deceptive, misleading or unethical promotional practices. This includes misrepresenting our products, using false claims, or impersonating iClickDeal or its representatives.
  • Use of paid search advertising (PPC) targeting our brand name or trademarks, bidding on our branded keywords, or conducting any “cookie-stacking” or other manipulative tracking methods is prohibited unless explicitly permitted in writing.
  • Affiliates must clearly disclose that they may receive compensation when a sale results through their link, in accordance with relevant endorsement/disclosure laws.
  • Affiliates must not send mass unsolicited email (spam) promoting iClickDeal, nor promote from inappropriate platforms (adult, illicit, or infringing).
  • We may, at any time and without prior notice, terminate or disable an Affiliate’s participation for violation of these conduct requirements.

5. Commission & Payment

  • The current Commission structure will be communicated via the affiliate dashboard or program materials.
  • A Commission is earned only when a Qualified Transaction occurs, the Customer is not ineligible (e.g., repeat of existing customer, fraudulent transaction), and all return/refund/cancellation periods have expired.
  • Commissions will not be paid for transactions that are refunded, voided, cancelled or otherwise invalid as determined by iClickDeal.
  • Commissions are payable after the standard validation period (to account for returns/chargebacks) as specified in the program dashboard.
  • Payments will be made through the payment method you select when registering. You are responsible for all taxes, bank/transfer fees, and ensuring your payment data is correct.
  • We reserve the right to modify Commission rates or payment terms at any time; any changes will be notified to you and apply only to future transactions.

6. Tracking & Attribution

  • Referral Links must be used properly to enable tracking. Commissions will only be credited when the tracking system registers a valid click-through, and the Customer completes a Qualified Transaction in the attribution window defined by iClickDeal.
  • Affiliates are responsible for ensuring cookies and tracking mechanisms function; lost or untracked referrals may not be credited.
  • iClickDeal reserves the right to refuse credit for clicks or conversions that it believes, in its reasonable judgment, were generated illegally or via fraudulent means.

7. Intellectual Property

  • We grant Affiliates a non-exclusive, revocable license to use iClickDeal’s approved trademarks, logos and marketing materials solely for the purposes of promoting the Program, provided such use adheres to any brand guidelines we supply.
  • Affiliates must not modify, distort, or misuse any materials, nor use them to create confusion regarding the relationship between Affiliate and iClickDeal.
  • Upon termination of this Agreement, Affiliate must immediately cease all use of iClickDeal’s trademarks and promotional materials.

8. Relationship of Parties

  • The relationship between iClickDeal and the Affiliate is that of independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment, agency or franchise relationship.
  • The Affiliate has no authority to bind, represent, or incur obligations on behalf of iClickDeal.

9. Term & Termination

  • This Agreement commences once the Affiliate is accepted into the Program and continues until terminated by either party.
  • Either party may terminate this Agreement at any time, with or without cause, by providing written notice or via dashboard notification.
  • Upon termination, the Affiliate will be eligible for Commission only for Qualified Transactions generated before termination, subject to validation and subject to any return/refund liability.
  • Termination will not relieve either party of obligations accrued prior to termination.

10. Warranties, Liability & Indemnification

  • iClickDeal makes no warranties regarding commissions, profitability, or suitability of the Program for any Affiliate’s business.
  • The Affiliate agrees to indemnify and hold harmless iClickDeal and its affiliates, officers, directors, employees and agents from any losses, liabilities, damages, costs or expenses (including legal fees) arising from the Affiliate’s breach of this Agreement, violation of law, or negligent or willful misconduct in connection with the Program.
  • In no event shall iClickDeal be liable for indirect, special, punitive or incidental damages, whether foreseeable or not, arising out of this Agreement or the Affiliate Program.

11. Modifications

  • iClickDeal reserves the right to modify the terms of this Agreement at any time, in its sole discretion. We will notify Affiliates of material changes via the program dashboard or via email. Continued participation in the Program after notification constitutes acceptance of the modified terms.

12. Confidentiality

  • Affiliates may receive access to non-public information regarding the Program. Affiliates agree to maintain the confidentiality of any such information and not to disclose it to third parties except with prior written consent.
  • This confidentiality obligation survives termination of this Agreement.

13. Governing Law and Dispute Resolution

  • This Agreement is governed by the laws of [insert jurisdiction, e.g., the Federal Republic of Pakistan / Province of Punjab / City of Lahore] without regard to its conflict of law provisions.
  • Any dispute, claim or controversy arising out of or in connection with this Agreement shall be resolved by arbitration or in courts of competent jurisdiction as chosen by iClickDeal, unless otherwise agreed.

14. Miscellaneous

  • If any provision of this Agreement is found to be invalid or unenforceable by a court or arbitration tribunal, the remaining provisions will continue in full force and effect.
  • The failure of either party to enforce any right or provision of this Agreement shall not be construed as a waiver of such right or provision.
  • This Agreement constitutes the entire agreement between the parties with respect to the Affiliate Program and supersedes all prior agreements, understandings, or arrangements (written or oral).
